These Terms form an agreement between you and JSONS Solicitors Private Limited, which operates services under the brand name Vakilkaro.
When you use the service on behalf of a company, NGO, partnership, trust, society or another organisation, you represent that you have authority to accept these Terms on its behalf.
About Vakilkaro
Vakilkaro is a legal-tech and professional-services platform offering assistance with business registration, intellectual property, taxation, licences, documentation, corporate compliance and related professional services.
Depending on the service, work may be completed by or in coordination with Advocates, Chartered Accountants, Company Secretaries, consultants, filing professionals and authorised service providers.
Vakilkaro is not a bank, lender or NBFC and does not provide loans, investment products, deposits or financial guarantees. References to NBFC or microfinance services relate only to registration, consultancy, documentation, training or compliance assistance.
Eligibility
You should be legally competent to enter into a binding agreement and authorised to provide the information and documents submitted through the platform.
Individuals below the age of eighteen should use our services only through a parent, lawful guardian or properly authorised representative.
We may request identity, authority or business-verification documents before accepting or continuing a service.
Scope of Services
Vakilkaro may provide or coordinate assistance for services including:
- Private Limited Company, LLP, OPC, Partnership, Producer Company and other business registrations.
- Trademark, copyright and other intellectual-property support services.
- Section 8 Company, Trust, Society, NGO, 12A and 80G-related assistance.
- NBFC, microfinance, Nidhi Company and financial-sector consultancy.
- GST, Income Tax, TDS, accounting, ROC and statutory compliance services.
- FSSAI, IEC, Udyam, ISO and other licence or certification assistance.
- Legal documentation, agreements, notices, drafting and compliance consultancy.
- Online dispute-resolution and professional consultation support.
The exact deliverables, exclusions, professional fees, statutory fees and estimated timeline will depend on the service selected and the written proposal shared with you.
Service Engagement and Confirmation
An enquiry, phone call, consultation or quotation does not automatically create a confirmed service engagement.
A service will generally be treated as confirmed after the applicable advance or full payment has been received and we have accepted the engagement.
We may decline or discontinue a service where the requirement appears unlawful, misleading, incomplete, outside our scope or likely to create a professional, legal or regulatory conflict.
Your Responsibilities
You are responsible for cooperating with the service process and ensuring that information supplied to us is accurate.
Provide complete, correct, current and genuine information.
Submit clear, valid and legally acceptable documents within the requested time.
Review all forms, drafts, applications and declarations before approval or filing.
Inform us promptly when any submitted information changes.
Maintain access to your registered mobile number, email and communication channels.
Respond to clarification, OTP, signature, verification and document requests on time.
Comply with applicable laws and avoid using our services for unlawful purposes.
Pay agreed professional, statutory and third-party fees within the specified time.
Delays or losses caused by incomplete documents, inaccurate information, non-response, missed OTPs, late approval or failure to meet authority requirements will not be treated as a delay solely attributable to Vakilkaro.
Documents, Information and Verification
You confirm that all documents, declarations, signatures, photographs, addresses and identity details provided by you are genuine, lawful and authorised.
We may rely on the information supplied by you unless there is an obvious reason to question it. We are not responsible for independently investigating beneficial ownership, source of funds, authority or authenticity beyond the checks required for the applicable service.
You should review every draft, application, form, object clause, classification, declaration and filing before giving approval. Your approval authorises us to proceed based on the information provided.
Original documents should be retained safely by you unless they are specifically requested under a documented handover process.
Professional Fees and Payments
Professional fees will be communicated through a quotation, proposal, invoice, payment link, email, WhatsApp message or other written communication.
Prices may vary based on the scope, complexity, number of applications, professional involvement, document condition, jurisdiction and urgency of the work.
Unless otherwise agreed in writing, work may begin only after the required payment is received. Delayed payment may result in suspension of work, missed timelines or additional charges.
You are responsible for verifying the recipient name, payment account and payment link before making any transaction. Do not transfer payment to an unauthorised personal account.
Government and Third-Party Fees
Government fees, stamp duty, registration fees, filing fees, certification fees, payment-gateway charges, professional certification expenses and other third-party costs may be charged separately.
Statutory fees may change without prior notice because of changes in capital, entity type, state, authority, classification, document count or government notification.
Government or third-party amounts already deposited are generally governed by the refund rules of the relevant authority or service provider and may not be recoverable from Vakilkaro.
Service Timelines
Any timeline shared by our team is an estimate based on normal circumstances and begins only after receipt of complete documents, required payment and client approval.
Timelines may be affected by government holidays, portal downtime, resubmission, departmental queries, inspection, name rejection, classification issues, regulatory examination, third-party verification or changes requested by you.
Expedited or urgent processing is available only where expressly confirmed and does not guarantee faster action by a government or regulatory authority.
Government Approvals and Service Results
Government departments, registrars, tax authorities, intellectual-property offices, regulators and licensing authorities retain exclusive authority over approvals, objections, queries, inspections, registrations and rejections.
Payment of professional fees does not guarantee approval of a company name, trademark, licence, registration, exemption, refund, tax position or regulatory application.
When an application receives an objection or query, additional documents, professional work or government fees may be required. Such additional work may be quoted separately.
Communication and Electronic Records
You authorise Vakilkaro to communicate with you through phone calls, email, SMS, WhatsApp, CRM notifications, video meetings and other electronic channels using the contact details provided by you.
Service-related communication may include document requirements, OTP requests, draft approvals, payment reminders, filing updates, compliance alerts and professional consultation.
You are responsible for monitoring your registered contact channels and informing us if they change. Communication sent to the last contact details supplied by you may be treated as valid service communication.
Promotional communication may be stopped by contacting our team, but essential service and compliance messages may continue.
Cancellation and Refund
Cancellation and refund eligibility will depend on the stage of work, professional time already spent, filings completed, documents prepared and amounts paid to government authorities or third parties.
Once drafting, consultation, filing, verification, name reservation, application preparation or professional work has begun, the related fee may be partly or fully non-refundable.
Refund requests must be submitted in writing with payment and service details. Approved refunds will be processed according to our Refund Policy and applicable payment-processing timelines.

General website access, chatbot interaction, sales communication or preliminary discussion does not by itself create an Advocate-client, Chartered Accountant-client or Company Secretary-client relationship.
A professional relationship may arise only when the relevant professional accepts the engagement and the applicable scope, fee and professional conditions have been confirmed.
Professional advice may depend on complete facts, documents and applicable law. You should not act solely on general website content or an incomplete preliminary discussion.
Conflicts of interest or professional restrictions may require a professional to decline or withdraw from an engagement.

Acceptable Use

Ownership and permitted use of a custom document, agreement, design or work product will depend on the service proposal, professional engagement and applicable law.

Information and documents may be shared with employees, professionals, technology providers, government authorities and service partners where reasonably necessary to provide the requested service.

Registrations, licences, filings, trademarks, certifications and regulatory applications remain subject to examination and approval by the relevant authority.
No Guaranteed Timeline
Any timeline communicated by us is an estimate and may change because of government processing, portal issues, queries, holidays or third-party delays.
No Financial Product

Limitation of Liability
To the maximum extent permitted by applicable law, Vakilkaro will not be responsible for indirect, incidental, special, punitive or consequential loss arising from website use, business decisions, delayed approvals, third-party systems or incorrect information supplied by you.
Subject to mandatory consumer rights and liabilities that cannot lawfully be excluded, our aggregate liability relating to a particular service will ordinarily not exceed the professional service fee actually paid to Vakilkaro for the affected service.
Government fees, taxes, statutory payments and amounts paid to independent third parties are excluded when calculating the professional service fee.
Nothing in these Terms limits liability where limitation is prohibited by law, including liability arising from fraud, wilful misconduct or any other non-excludable obligation.
Indemnity
To the extent permitted by law, you agree to protect and compensate Vakilkaro, its directors, employees and service professionals against claims, losses or expenses resulting from your unlawful use of the service, false documents, misrepresentation, infringement or breach of these Terms.
This obligation does not apply to the extent a claim results directly from fraud, wilful misconduct or a non-excludable legal breach by Vakilkaro.
Suspension and Termination
We may suspend website access or stop a service where payment is overdue, required documents are not provided, communication remains unanswered, unlawful conduct is suspected or these Terms are materially breached.
Where reasonably possible, we may give you an opportunity to correct the issue before terminating the engagement.
Termination does not affect payment obligations, confidentiality responsibilities, intellectual-property rights or other provisions intended to continue after termination.
Force Majeure
Vakilkaro will not be responsible for delay or failure caused by circumstances beyond reasonable control, including natural disasters, internet or power failures, cyber incidents, government restrictions, portal downtime, strikes, public emergencies or regulatory changes.
We will make reasonable efforts to resume the affected service when circumstances permit.
Governing Law and Dispute Resolution
These Terms are governed by the laws applicable in India.
Before starting formal proceedings, both parties should attempt to resolve a dispute through good-faith written communication and discussion.
Subject to mandatory consumer-protection rights and any jurisdiction that cannot legally be excluded, competent courts at Jaipur, Rajasthan will have jurisdiction over disputes arising from these Terms or the services.
Nothing in this section prevents a consumer from approaching an authority, commission or forum available under applicable law.
Changes to These Terms
We may update these Terms to reflect changes in our services, technology, business practices, pricing model or applicable law.
Updated Terms will be published on this page with a revised “Last Updated” date. Material changes may also be communicated through email, message, website notice or another appropriate channel.
Your continued use of the website or services after the updated Terms become effective will constitute acceptance of the revised Terms, subject to applicable law.
